The Management Board and the Supervisory Board of Integralis AG have passed a resolution to issue 1,451,747 new shares to NTT Communications Deutschland GmbH on a contribution-in-kind basis involving partial use of the company's authorised capital and subject to the exclusion of the shareholders' pre-emptive subscription rights. By subscribing to the issue, NTT Communications Deutschland GmbH's share in Integralis could increase to somewhat over 78 percent of the voting rights.
