Verschmelzung von IDS Scheer AG mit Software AG stattgegeben

Das Saarländische Oberlandesgericht hat heute dem Antrag der IDS Scheer AG auf Freigabe der Eintragung der Verschmelzung mit der Software AG stattgeben. Die IDS Scheer AG rechnet auf Grundlage dieser Entscheidung zeitnah mit der Eintragung im Handelsregister und damit mit der Wirksamkeit der Verschmelzung. Mit Wirksamkeit der Verschmelzung werden entsprechend dem im Verschmelzungsvertrag festgelegten Umtauschverhältnis je 33 IDS Scheer AG Aktien in je 4 Software AG Aktien umgetauscht.
