In der Praxis kommt es immer wieder vor, dass die im kaufmännischen Verkehr geltende Untersuchungs- und Rügepflicht (§ 377 HGB) unterschätzt wird, dass Fristen versäumt oder bestehende Ansprüche nur halbherzig verfolgt werden. Gerade im letzten Fall kann dies zur Haftung von Geschäftsführern und Vorständen von Kapitalgesellschaften führen.
