Letter of Intent (LOI) zwischen CROSS Industries AG und BEKO HOLDING AG unterzeichnet

CROSS Industries AG und BEKO HOLDING AG haben gestern in einem Letter of Intent (LOI) das Verfahren für die Einbringung des Geschäftsanteils der CROSS Gruppe an der BF Informationstechnologie-Beteiligungsgesellschaft m.b.H. (BFIG) in die BEKO HOLDING AG festgelegt. Dies soll in Form einer Kapitalerhöhung gegen Sacheinlage erfolgen. Nach Maßgabe des zu erstellenden Prüfungsgutachtens des Sacheinlageprüfers würde BEKO HOLDING AG (mittelbar) zum Mehrheitsaktionär an der börsenotierten BRAIN FORCE HOLDING AG und die CROSS Industries AG zum größten Anteilseigner der BEKO HOLDING AG werden.

Diese Transaktion wäre ein wesentlicher Schritt im Rahmen der Unternehmensstrategie zum Auf- und Ausbau der BEKO HOLDING AG als börsenotierte IT- und Engineering Holding.
