AC-Service und All for One unterzeichnen Unternehmenskaufvertrag

Vertragsverhandlungen über den Erwerb aller Anteile an der All for One Systemhaus GmbH Midmarket Solutions abgeschlossen.

Die AC-Service AG, Stuttgart, und die All for One Systemhaus AG, Oberessendorf, haben ihre am 11.11.2005 bekannt gegebenen, exklusiven Verhandlungen über den Erwerb aller Anteile an der All for One Systemhaus GmbH Midmarket Solutions durch die AC-Service AG erfolgreich abgeschlossen. Der entsprechende Unternehmenskaufvertrag wurde am 07.02.2006 unterzeichnet. Die Abtretung der Anteile steht unter der aufschiebenden Bedingung der vollständigen Zahlung des Kaufpreises, der 10 Tage nach Vertragsunterzeichnung fällig wird. Der Kaufpreis in Höhe von 15.350.000 EUR enthält keine variablen Komponenten, ist in bar zu leisten und soll vollständig fremdfinanziert werden.

Lars Landwehrkamp, Geschäftsführer der All for One Systemhaus GmbH Midmarket Solutions und derzeit noch Sprecher des Vorstands der All for One Systemhaus AG, bleibt nach dem Gesellschafterwechsel weiterhin Geschäftsführer der All for One Systemhaus GmbH Midmarket Solutions und wurde unter der Bedingung, dass der Anteilserwerb vollzogen wird, vom Aufsichtsrat zum Mitglied des Vorstands der AC-Service AG bestellt.

Die All for One Systemhaus AG hatte ihren gesamten SAP-Systemhausbereich im April 2005 in eine eigenständige Tochtergesellschaft, die All for One Systemhaus GmbH Midmarket Solutions, überführt. Der ausgegründete Geschäftsbetrieb repräsentiert ein Jahresumsatzvolumen von über 23 Mio. EUR mit einer zweistelligen EBIT-Marge, beschäftigt etwa 110 Personen und zählt im Segment von Herstellerunternehmen mit diskreter Fertigung zu den führenden Partnern der SAP im deutschsprachigen Raum.

Für die AC-Service AG stellt die Übernahme der All for One Systemhaus GmbH Midmarket Solutions einen Meilenstein auf dem Weg zu einem der führenden IT-Services-Unternehmen im deutschsprachigen SAP-Mittelstandsmarkt dar.
