ARQUES Industries AG (ISIN DE0005156004) has closed the sale of the ICT distributor, Actebis, based in Soest. The closing of the contract took place with effect September 15, 2009 after the approval of the transaction by the competent cartel authorities. Hereby ARQUES will accrue the purchase price to the value of EUR 38.9 million. In addition, the buyer, Droege Capital GmbH, Dusseldorf, a subsidiary of Droege International Group AG, will indemnify ARQUES for still pending purchase price liabilities to the value of EUR 37.5 million. ARQUES will use the sales proceeds for the further reduction of debts.
With this sale, ARQUES Industries AG was able to arrange its Actebis commitment successfully, taking into consideration all ancillary expenses and financing costs of the transaction. ARQUES acquired Actebis at the end of September 2007.
"The sale of our subsidiary, Actebis, not only contributes to the significant reduction of our indebtedness. We have also succeeded in removing considerable risks from our balance sheet by way of the transaction. Hereby the ARQUES Group balance sheet total is reduced by a total of approximately EUR 500 million. ARQUES thereby consistently continues its consolidation course in order to return to a profitable growth course", said Hans Gisbert Ulmke, chairman of the ARQUES executive board.
