Further 5.26 percent of VNG shares transferred to GAZPROM Germania

Transfer of registered shares held by EEG-Erdgas Transport GmbH to GAZPROM Germania GmbH approved

(PresseBox) (Leipzig, ) At today's Extraordinary General Meeting, the shareholders of VNG - Verbundnetz Gas Aktiengesellschaft (VNG) approved by majority the transfer of the registered shares in VNG previously held by EEG-Erdgas Transport GmbH, Berlin, to GAZPROM Germania GmbH, Berlin. GAZPROM Germania will therefore in future hold 10.52 percent of the shares in VNG. The transaction is still subject to approval from the Bundeskartellamt (Federal Cartel Office).

EEG-Erdgas Transport GmbH, a whollyowned subsidiary of GDF Suez, had been a shareholder of VNG since 1992. GAZPROM Germania GmbH has also been a shareholder of VNG since 1992.

VNG - Verbundnetz Gas Aktiengesellschaft is an international group of companies and a reliable supplier of natural gas from Russian, Norwegian and other sources to major users and municipal distributors in Europe. VNG has been active in the gas industry for over 50 years. Today, VNG is Germany's third largest gas importer and ranks among Europe's top ten. In 2008, VNG with its workforce of roughly 640 employees delivered 171.4 billion kWh of gas and generated sales of 5.5 billion euros.
