New Supervisory Board at Integralis AG

Resignation of the previous members of the Supervisory Board / Changed ownership structure reflected in the new composition of the Supervisory Board

(PresseBox) (Ismaning, ) Prime Standardlisted Integralis AG, the leading international IT security solutions provider, has announced extensive changes to the composition of its Supervisory Board. Effective 11 December 2009, all the previous members of the Company's Supervisory Board have resigned, thus making it possible to alter this body's composition to reflect the new ownership structure.

After the resignation of the previous members of the Supervisory Board had become known, the new majority shareholder NTT Communication Corporation (NTT Com) submitted an application with the responsible register court requesting the appointment of three new members to the Supervisory Board. The register court approved this application, which was also supported by the Management Board of Integralis AG. In accordance with the recommendations of the German Corporate Governance Code, the members of Integralis AG's Supervisory Board are to be elected by the Company's shareholders at the next annual general meeting.

As far as the Company is currently aware and subject to final confirmation by the Supervisory Board, the new chairman of the Supervisory Board is to be Luc Loos, Country Manager at NTT Europe Online GmbH; his deputy is to be the independent ITC consultant Makoto Takei. Kazu Yozawa, who is responsible for corporate planning at NTT Com, has also been appointed to the Supervisory Board.

Both Mr. Takei and Mr. Yozawa satisfy the conditions for appointment as independent financial experts.
