LINOS AG: Decision of OLG Celle in the Squeeze Out fast track proceeding

Göttingen, (PresseBox) - LINOS AG (ISIN DE0005256507): Several shareholders of LINOS AG have filed an action to the regional court in Hanover for annulment of the resolution of the general shareholders' meeting on the transfer of the shares held by LINOS AG's minority shareholders to Optco Akquisitions GmbH in return for an adequate compensation in cash (Squeeze Out). No legally binding decision has been made on these actions so far.

In order to accelerate the implementation of the general shareholders' meeting's Squeeze Out resolution LINOS AG filed an action allowing the Squeeze Out to be registered. This action was decided in favour of LINOS AG by decision of the regional court in Hanover dated 16 March 2009 (Ref: 26 O 111/08). Against this decision an appeal procedure was initiated to the higher regional court in Celle. With decision dated 2 July 2009, a copy of which LINOS AG received on 9 July 2009, the higher regional court in Celle rejected the appeals (Ref: 9 W 43/09).

LINOS AG will apply for registration of the Squeeze Out with the commercial register in due course.
